E50 for sure... that way, you dont need to change the UI... and most of your S60 software and themes will also work on it, that is if your 1st S60 is also a 3rd ed. S60...

That depends whether your secondary phone needs to have all the same features as your first. If it does, obviously get the E50, but if it does not, the 6233 is a very nice phone indeed.
